These Terms & Conditions (“Terms”) set out the basis on which Stabilisation & Growth Advisory Ltd (“SGA”, “we”, “us”, “our”) provides services to clients (“you”, “your”). By engaging SGA, you agree to these Terms.
SGA is registered in England & Wales. Registered Office: Huddersfield, West Yorkshire. Working UK‑wide.
1. Definitions
“Services” Advisory, Stabilisation, Strengthen, Grow, Fractional Leadership, Diagnostics, and any related professional support delivered by SGA.
“Engagement” The agreed scope of work, including deliverables, timelines, fees and responsibilities.
“Client Materials” Any information, data, documents or access provided by you.
“SGA Materials” Any tools, frameworks, diagnostics, templates, methodologies or intellectual property created or provided by SGA.
“Confidential Information” Any non‑public information shared between SGA and the client.
2. Acceptance of Terms
All Engagements are accepted by SGA only under these Terms. They may not be altered without SGA’s written agreement. Any contrary or additional terms supplied by the client are excluded unless expressly agreed in writing.
Proposals and Quotations issued by SGA are invitations to treat only. They do not constitute a binding offer and shall lapse 30 days from their date unless otherwise stated.
3. Scope of Services
SGA provides professional SME advisory and stabilisation services including:
- diagnostic assessments
- operational improvement
- governance strengthening
- financial clarity support
- senior advisory
- fractional leadership
- capability building
- strategic guidance
The exact scope will be defined in your Engagement Summary or Proposal.
4. Regulatory Boundary
SGA does not provide:
- regulated financial advice
- regulated legal advice
- regulated accountancy services
SGA may:
- support operational finance routines
- prepare draft statutory accounts
- prepare reconciliations and reporting packs
- assist with capability building and system setup
- provide HR‑related guidance aligned to ACAS and statutory requirements
- collaborate with or recommend trusted bookkeeping or accountancy professionals where specialist services are required
Final filing of statutory accounts, tax returns or regulated submissions must be completed by the client or a qualified accountant.
5. Engagement Model
SGA operates a diagnostic‑first approach. All work follows the SGA Methodology:
- Understanding — clarity and assessment
- Stabilise — restoring control and reducing pressure
- Strengthen — building capability and maturity
- Momentum — improving performance and momentum
The Engagement may include one or more stages depending on your needs.
SGA will deliver Services through:
- remote sessions
- on‑site sessions
- workshops
- leadership support
- fractional involvement
- structured routines
- written outputs
- diagnostics and tools
SGA will act with professionalism, care and senior judgement at all times.
6. Client Responsibilities
To enable SGA to deliver Services effectively, you agree to:
- provide accurate and timely information
- ensure access to relevant systems, people and documents
- make decisions required to progress the Engagement
- communicate changes that may affect delivery
- ensure staff cooperation where needed
- maintain responsibility for all final business decisions
SGA is not responsible for delays caused by missing information, lack of access or internal constraints.
7. Fees & Payment Terms
Fees will be set out in your Engagement Summary or Proposal.
Payment Terms
- Invoices are due within 14 days unless otherwise agreed.
- Late payments may incur interest at the statutory rate.
- Travel or reasonable expenses will be agreed in advance.
- Project work may require staged payments or deposits.
- Fractional Leadership may be billed monthly in advance.
All fees are exclusive of VAT (if applicable).
8. Cancellation & Termination
Either party may terminate the Engagement with 14 days’ written notice.
Upon termination:
- all work completed to date will be invoiced
- any scheduled sessions within the notice period remain chargeable
- SGA will provide a reasonable handover if requested
- access to SGA Materials may be withdrawn
SGA may terminate immediately if:
- invoices remain unpaid
- cooperation is withdrawn
- behaviour becomes innapropriate or unsafe
- the Engagement becomes unworkable for professional reasons
9. Confidentiality
Both parties agree to maintain strict confidentiality.
Confidential Information will not be shared with third parties unless:
- required by law
- agreed in writing
- necessary for delivery of Services (e.g., subcontractors under NDA)
SGA handles all information securely and respectfully.
10. Data Protection
SGA complies with UK GDPR.
Your data is handled in accordance with our Privacy Policy, which forms part of these Terms.
SGA may use secure digital tools to support delivery. No automated decision‑making is used.
11. Intellectual Property
SGA retains ownership of:
- frameworks
- diagnostics
- tools
- templates
- methodologies
- processes
- written materials
- intellectual property created during the Engagement
You retain ownership of:
- your business data
- your documents
- your internal materials
SGA grants you a non‑exclusive licence to use SGA Materials for internal purposes only.
SGA Materials may not be copied, shared, resold or repurposed without written permission.
12. Professional Standards & Insurance
SGA operates with senior professional standards and maintains appropriate Professional Indemnity Insurance.
SGA is a member of the Federation of Small Businesses (FSB), supporting our commitment to quality, governance and professionalism.
13. Limitations of Liability
SGA will not be liable for:
- indirect or consequential losses
- loss of profit, revenue or opportunity
- decisions made by the client based on advice
- actions taken without SGA’s involvement
- delays caused by client constraints
SGA’s total liability is limited to the total fees paid for the Engagement.
Nothing in these Terms limits liability for fraud or matters that cannot be excluded under UK law.
14. Use of Tools
SGA may use AI‑assisted tools to support clarity, diagnostics or document creation.
All outputs are human‑led, reviewed and interpreted by SGA. AI tools do not make decisions, provide regulated advice or replace professional judgement.

15. Governing Law These Terms are governed by the laws of England & Wales
16. Dispute Resolution
If concerns arise, both parties agree to:
- discuss calmly
- seek resolution informally
- escalate only if necessary
If unresolved, disputes may be referred to mediation before legal action.
17. Variation of Terms
SGA may update these Terms periodically. The latest version will always be available on our website.
